1. Definitions
In these Terms and Conditions:
- "Service" or "Services" refers to retirement visa advisory, estate planning, financial setup guidance, and related legal advisory services provided by Havenwell
- "Client" or "You" refers to any individual or entity engaging Havenwell's services
- "We," "Us," or "Our" refers to Havenwell, its advisors, and authorized representatives
- "Agreement" refers to the engagement letter, these Terms and Conditions, and any supplementary service agreements
- "Website" refers to all web pages and content hosted at havenwellx.site
2. Acceptance of Terms
By accessing our website, submitting inquiries, or engaging our services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
These terms constitute a legally binding agreement between you and Havenwell. If you do not agree with any part of these terms, you should not use our website or services.
You must be at least 18 years of age and have the legal capacity to enter into binding contracts in your jurisdiction to use our services.
3. Service Description
Advisory Services Offered
Havenwell provides specialized legal advisory services for foreign retirees in Thailand, including:
- Retirement visa application and extension advisory
- Thai will preparation and estate planning
- Powers of attorney drafting
- Financial establishment guidance including bank account opening coordination
- Immigration compliance support including 90-day reporting
- Coordination with Thai government offices, banks, and insurance providers
Service Limitations
Our services are advisory in nature. We:
- Provide guidance and prepare documentation, but cannot influence immigration decisions
- Coordinate with third parties, but cannot control their processes or timelines
- Offer legal advisory within Thailand, but are not licensed to practice law in other jurisdictions
- Focus on retiree matters and do not handle all types of legal issues in Thailand
4. Client Responsibilities
As a client, you agree to:
- Provide accurate, complete, and truthful information
- Submit required documentation in a timely manner
- Notify us promptly of any changes to your circumstances
- Follow our guidance regarding Thai legal and immigration requirements
- Maintain valid health insurance, financial deposits, or income as required for visa compliance
- Pay fees according to agreed terms
- Respect confidentiality of our advisory methods and materials
Prohibited Conduct
You agree not to:
- Provide false or misleading information
- Use our services for any unlawful purpose
- Attempt to circumvent Thai immigration or banking regulations
- Misrepresent our advice or recommendations to third parties
- Reproduce, distribute, or commercially exploit our proprietary materials
5. Engagement and Fees
Service Engagement
Before beginning work, we provide a written engagement letter specifying the scope of services, timeline estimates, fee arrangements, and respective responsibilities. Services commence only after you accept the engagement terms.
Fee Structure
Our fees vary based on service complexity:
- Retirement Visa & Extension Advisory: ฿9,000 - ฿18,000
- Thai Will & Asset Protection: ฿15,000 - ฿28,000
- Long-Stay Financial & Banking Setup: ฿8,500 - ฿16,000
Fees are quoted in Thai Baht and may be adjusted for particularly complex situations. All fee adjustments will be communicated and approved before additional work proceeds.
Payment Terms
Payment is typically structured as follows:
- Initial consultation fees (if applicable) are due at the time of consultation
- Service fees may be divided into initial retainer and final payment upon completion
- Payment is due within 14 days of invoice date unless otherwise agreed
- Accepted payment methods include bank transfer and cash
Third-Party Costs
Government fees, translation charges, courier expenses, notarization costs, and other third-party expenses are separate from our advisory fees and are your responsibility unless specifically included in our engagement letter.
6. Intellectual Property
All content on our website, including text, graphics, logos, and materials, is owned by Havenwell or licensed to us and is protected by Thai and international copyright laws.
Documents we prepare for you (wills, applications, etc.) are created specifically for your use. You receive a limited license to use these documents for their intended purpose, but may not reproduce or distribute our templates, forms, or methodologies.
All proprietary processes, checklists, and advisory methods remain our intellectual property.
7. Confidentiality
We maintain strict confidentiality regarding all client information and communications as required by Thai legal practice standards and the Personal Data Protection Act.
You agree to maintain confidentiality regarding our advisory methods, fee structures, and proprietary materials.
Confidentiality obligations survive termination of our engagement and continue indefinitely unless disclosure is required by law.
8. Disclaimers
No Guarantees
While we apply our expertise and experience to your matter, we cannot provide outcomes. Immigration decisions rest with Thai authorities, bank account approvals depend on bank policies, and legal processes involve variables beyond our control. We make no promises regarding visa approvals, timeline precision, or specific results.
Services Provided "As Is"
Our advisory services and website are provided on an "as is" and "as available" basis. We make reasonable efforts to ensure accuracy but do not warrant that our website will be error-free or continuously available.
Not Professional Advice for Other Jurisdictions
Our advice pertains to Thai legal matters only. We are not qualified to provide legal, tax, or financial advice regarding your home country. You should consult appropriate professionals in your jurisdiction for such matters.
9. Limitation of Liability
To the maximum extent permitted under Thai law, Havenwell's liability for any claim arising from our services is limited to the amount of fees you paid for the specific service giving rise to the claim.
We are not liable for indirect, incidental, consequential, or punitive damages, including lost opportunities, expenses incurred due to visa delays, or emotional distress.
We are not responsible for actions or inactions of third parties including immigration offices, banks, insurance providers, or government agencies.
These limitations apply regardless of the legal theory (contract, negligence, or otherwise) and even if we were advised of the possibility of such damages.
10. Indemnification
You agree to indemnify, defend, and hold harmless Havenwell, its advisors, and employees from any claims, damages, liabilities, costs, or expenses (including legal fees) arising from your breach of these terms, provision of false information, or violation of any law or regulation.
11. Termination
Termination by Client
You may terminate our engagement at any time by providing written notice. You remain responsible for payment of fees for work completed through the termination date and any non-refundable third-party expenses already incurred.
Termination by Havenwell
We may terminate the engagement if:
- You fail to pay fees when due
- You provide false or misleading information
- A conflict of interest arises
- You fail to cooperate or provide necessary documentation
- Continuing the engagement would violate our professional obligations
Effects of Termination
Upon termination, we will provide you with documents and materials belonging to you. Confidentiality obligations, fee payment requirements, and limitation of liability provisions survive termination.
12. Dispute Resolution
Informal Resolution

Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of the Kingdom of Thailand.
Jurisdiction
Any legal proceedings arising from these terms or our services shall be brought exclusively in the courts of Chiang Mai, Thailand. You consent to the personal jurisdiction of these courts.
Mediation
Before initiating formal legal proceedings, parties agree to attempt resolution through mediation administered by a mutually agreed mediator in Chiang Mai, Thailand.
13. General Provisions
Entire Agreement
These Terms and Conditions, together with any engagement letter, constitute the entire agreement between you and Havenwell regarding our services, superseding all prior discussions or agreements.
Severability
If any provision of these terms is found invalid or unenforceable, the remaining provisions continue in full force and effect.
Waiver
Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
Assignment
You may not assign your rights or obligations under these terms without our written consent. We may assign our rights to a successor practice with notice to you.
Notices
All notices required under these terms must be in writing and delivered via email to the addresses provided in our engagement letter or to [email protected].
14. Changes to Terms
We reserve the right to modify these Terms and Conditions at any time. Changes will be posted on our website with the "Last Updated" date revised accordingly.
Material changes affecting existing client engagements will be communicated directly via email. Continued use of our services after changes take effect constitutes acceptance of the modified terms.
For new engagements, the terms in effect at the time of engagement govern that relationship.
